End User License Agreement

PLEASE READ THIS END USER LICENSE AGREEMENT CAREFULLY BEFORE INSTALLING OR USING FABPAK PROJECT EXPORTER. BY INSTALLING, COPYING, ACTIVATING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL OR USE THE SOFTWARE AND, IF APPLICABLE, RETURN OR DELETE IT IMMEDIATELY.

This End User License Agreement ("Agreement") is a legally binding contract between you, either an individual or a single legal entity ("User" or "you"), and Daedalus Contrivance, LLC ("Company," "we," or "us"), an Arkansas limited liability company, for the use of FabPak Project Exporter ("Software"). This Agreement governs your use of the Software and any associated documentation, updates, and supplemental materials provided by Company.

1. Grant of License

Subject to your full compliance with the terms and conditions of this Agreement and timely payment of all applicable license fees, Company grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use one (1) copy of the Software on a single computer ("Licensed Machine") solely for your personal or internal business purposes.

This license does not include any right to use the Software on more than one machine simultaneously, to allow third parties to use the Software, or to use the Software as part of a hosted or managed service offering. Each concurrent user or installation requires a separate license unless otherwise agreed to in writing by Company.

2. License Tiers and Features

The Software is offered in three license tiers. Features available to each tier are as described on the FabPak pricing page at fabpak.app/pricing at the time of purchase. Company reserves the right to modify feature availability with reasonable notice to existing licensees.

FabPak Fabricator — A perpetual license covering core fabrication exports: sheet metal DXF export, drawing PDF export, BOM to Excel, and PDF binder. Does not include STEP file export or Pack and Go. License remains valid indefinitely subject to Section 7.

FabPak Freelance — A subscription license providing access to all Software features. License remains active only while the subscription is current. Upon cancellation or non-payment, access terminates at the end of the current billing period. No refund is issued for unused time within an active billing period.

FabPak Pro — A perpetual license providing access to all Software features. License remains valid indefinitely subject to Section 7.

3. Trial License

Company provides a free 14-day trial license that enables full access to all Software features. No credit card or payment information is required to activate a trial license.

The trial license is machine-locked to the first device on which it is activated. Trial licenses cannot be transferred to another machine, extended, reset, or reactivated following expiration. Each machine is eligible for one trial license per major Software version.

The trial period is provided expressly to allow you to evaluate the Software in your specific SolidWorks installation, operating environment, and workflow before committing to a purchase. Following the expiration of the trial, continued use of the Software requires purchase of a paid license.

4. Activation and License Management

The Software uses a third-party license management platform to enforce license terms and manage activations. Upon purchase, you will receive a license key that must be activated within the Software to unlock full functionality. Activation requires an internet connection at the time of activation only.

Each license permits activation on one (1) machine at a time. You may deactivate the Software on your current machine at any time through the FabPak Options panel within SolidWorks, which releases the activation and allows you to activate on a different machine using the same license key. There is no limit to the number of times a license may be transferred between machines, provided only one machine is active at any given time.

You are responsible for maintaining the security of your license key. Company reserves the right to revoke, suspend, or invalidate any license key upon reasonable determination that the license is being used in violation of this Agreement, including use on multiple machines simultaneously or sharing of license keys among multiple users.

Except as expressly permitted by this Agreement or applicable law, you agree that you will not, and will not permit any third party to:

6. User Environment Responsibility

The Software is designed and tested for use with specific versions of SolidWorks on Windows operating systems as documented at fabpak.app/download. You are solely responsible for ensuring that your computing environment is compatible with the Software, including your SolidWorks version, operating system configuration, hardware specifications, PDM configuration, file structures, IT policies, and any third-party applications that interact with SolidWorks.

Company makes no warranty that the Software will function in all computing environments. The 14-day trial period is provided specifically to allow you to verify compatibility with your environment before purchase.

7. Updates, Maintenance, and Support

Perpetual license holders (Fabricator and Pro tiers) are entitled to receive Software updates and technical support for one (1) year from the date of purchase ("Maintenance Period"). Following the expiration of the Maintenance Period, your perpetual license continues to function without interruption using the last version released during your Maintenance Period. You will no longer receive updates or priority support until the Maintenance Period is renewed.

Freelance subscription holders receive updates and technical support for the duration of their active subscription. Upon cancellation or expiration, Software access and support are discontinued.

Support is provided through the FabPak support portal at fabpak.app/support. Company will make reasonable efforts to respond to support requests within one (1) business day.

8. Software Output and Engineering Responsibility

FabPak Project Exporter automates the generation of fabrication deliverable files from SolidWorks assemblies, including DXF flat patterns, drawing PDFs, bills of materials, STEP files, and compressed archive packages (collectively, "Output").

ALL OUTPUT IS PROVIDED FOR WORKFLOW AUTOMATION AND INFORMATIONAL PURPOSES ONLY. OUTPUT IS NOT A SUBSTITUTE FOR INDEPENDENT PROFESSIONAL ENGINEERING REVIEW, VALIDATION, OR VERIFICATION. THE SOFTWARE IS A TOOL, NOT AN ENGINEERING DECISION-MAKER. YOU OWN THE OUTCOME.

You explicitly acknowledge and agree that you must independently verify the accuracy, completeness, and fitness for purpose of all Output before use in any fabrication, manufacturing, or engineering context; that the Software does not perform engineering analysis, dimensional verification, or quality assurance; and that you are solely responsible for all engineering decisions and downstream consequences of reliance on Output.

9. File Integrity and Data Loss

The Software interacts with SolidWorks files through the SolidWorks COM API. While designed to read from, not write to, your source files during normal operation, Company cannot guarantee the integrity of your files during or following any Software operation.

COMPANY EXPRESSLY DISCLAIMS ANY RESPONSIBILITY FOR CORRUPTION, MODIFICATION, OVERWRITING, OR LOSS OF YOUR SOLIDWORKS FILES, DRAWINGS, MODELS, OR ANY OTHER DIGITAL ASSETS RESULTING FROM USE OF THE SOFTWARE.

You are solely responsible for maintaining current, complete backups of all SolidWorks files and related project data prior to and during use of the Software.

10. Ownership and Intellectual Property

The Software is licensed to you, not sold. Company retains all right, title, and interest in and to the Software, including all intellectual property rights. "FabPak" and "FabPak Project Exporter" are trademarks of Daedalus Contrivance, LLC. SolidWorks is a registered trademark of Dassault Systèmes SolidWorks Corporation. FabPak is an independent product and is not affiliated with, endorsed by, or sponsored by Dassault Systèmes.

11. Third-Party Components

The Software incorporates PdfSharp, an open-source library licensed under the MIT License, for PDF generation and merging operations. PdfSharp is provided "as is" without warranty of any kind. The Software also integrates with a third-party license management platform for license activation and management. Company is not responsible for activation failures, service outages, or data handling attributable to any third-party component or service.

ALL THIRD-PARTY COMPONENTS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND FROM COMPANY. COMPANY IS NOT RESPONSIBLE FOR ANY LOSS, DAMAGE, OR FAILURE ARISING FROM THIRD-PARTY COMPONENTS OR THEIR INTEGRATION WITH THE SOFTWARE.

12. Privacy and Data Collection

The Software does not transmit your SolidWorks files, models, assemblies, drawings, or any design data to Company servers. All file processing occurs entirely on your local Licensed Machine. License activation and deactivation events are transmitted to our license management platform solely for the purpose of enforcing single-seat license terms. Your use of the fabpak.app website is subject to the FabPak Privacy Policy at fabpak.app/legal/privacy.

13. License Compliance and Audit Rights

Company reserves the right to verify your compliance with this Agreement, including the single-seat activation restriction, upon reasonable written notice of not less than five (5) business days. Company may use technical means, including license server records and activation logs, to monitor and enforce license compliance.

14. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; WARRANTIES THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR OPERATE UNINTERRUPTED OR ERROR-FREE; AND WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY OUTPUT.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DAEDALUS CONTRIVANCE, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR ANTICIPATED SAVINGS; FABRICATION ERRORS, MATERIAL WASTE, OR REWORK COSTS; LOSS OR CORRUPTION OF SOLIDWORKS FILES; OR PERSONAL INJURY ARISING FROM MANUFACTURED COMPONENTS.

COMPANY'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. FOR TRIAL LICENSE USERS, MAXIMUM LIABILITY IS ZERO DOLLARS ($0.00).

16. Indemnification

You agree to indemnify, defend, and hold harmless Daedalus Contrivance, LLC and its officers, directors, members, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Software in violation of this Agreement, your violation of applicable law, any Output you generate and provide to third parties, or your failure to maintain adequate backups of your SolidWorks files.

17. Term and Termination

This Agreement is effective as of the date you first install or use the Software and continues until terminated. Company may terminate this Agreement immediately if you breach any material term, use the Software on more machines than permitted, share your license key with third parties, or attempt to circumvent license enforcement. Upon termination, all licenses granted terminate immediately, you must cease all use and delete all copies of the Software, and Company may remotely revoke your license activation. Termination does not entitle you to any refund. Sections 5, 8, 9, 10, 11, 14, 15, 16, and 20 survive termination.

18. Export Compliance

By downloading, installing, or using the Software, you represent and warrant that you are not located in or a national of any country subject to a U.S. government embargo, that you are not on any U.S. government restricted party list, and that you will not export or re-export the Software to any prohibited destination or person.

19. Force Majeure

Company shall not be liable for any delay or failure in performance caused by circumstances beyond Company's reasonable control, including acts of God, natural disasters, government actions, labor disputes, failures of third-party service providers, cyberattacks, or pandemics.

20. General Provisions

Entire Agreement. This Agreement, together with the FabPak Privacy Policy and Terms of Service, constitutes the entire agreement between you and Company with respect to the Software.

Amendment. Company reserves the right to amend this Agreement at any time. Material changes will be communicated through the fabpak.app website. Continued use of the Software following notice constitutes acceptance.

Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force.

Waiver. No failure or delay by Company in exercising any right constitutes a waiver of that right.

Assignment. You may not assign this Agreement without Company's prior written consent. Company may assign freely.

Governing Law. This Agreement is governed by the laws of the State of Arkansas, USA. Any dispute shall be resolved exclusively in the state or federal courts of competent jurisdiction located in Arkansas.
