Terms of Service

These Terms of Service ("Terms") govern your access to and use of the fabpak.app website, associated documentation, and related services (collectively, the "Site") operated by Daedalus Contrivance, LLC ("Company," "we," or "us"), an Arkansas limited liability company. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not access or use the Site.

Use of FabPak Project Exporter software ("Software") is separately governed by the End User License Agreement ("EULA"), available at fabpak.app/legal/eula. These Terms govern your relationship with the Site and do not supersede the EULA. In the event of a conflict between these Terms and the EULA with respect to Software use, the EULA controls.

1. Eligibility and Authority

You must be at least 18 years of age to use the Site or purchase a license to the Software. By using the Site, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement under applicable law.

If you are accessing or using the Site on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such case, "you" refers to both you individually and the entity you represent.

2. Use of the Site

You may use the Site for lawful purposes only. You agree not to:

  • Use the Site in any manner that violates applicable federal, state, local, or international law or regulation
  • Transmit any content that is harmful, offensive, defamatory, fraudulent, obscene, or infringing on the rights of others
  • Attempt to gain unauthorized access to any portion of the Site, its infrastructure, or related systems
  • Interfere with or disrupt the integrity, security, or performance of the Site or any connected services
  • Use automated means, including bots, scrapers, or crawlers, to access or collect data from the Site without prior written consent from Company
  • Introduce any virus, trojan, worm, or other malicious or harmful code to the Site or its infrastructure

3. Software Licensing

Purchase and use of FabPak Project Exporter software is governed exclusively by the End User License Agreement. These Terms do not grant any rights to the Software and are not a substitute for the EULA. Your rights to install, activate, and use the Software are contingent on your acceptance of and compliance with the EULA.

4. Software Output and Engineering Responsibility

FabPak Project Exporter is a productivity tool designed to automate the generation of fabrication deliverable files from SolidWorks assemblies. The Software produces output files including, but not limited to, DXF flat patterns, drawing PDFs, bills of materials, STEP files, and compressed archives (collectively, "Output").

ALL OUTPUT GENERATED BY THE SOFTWARE IS PROVIDED FOR INFORMATIONAL AND WORKFLOW AUTOMATION PURPOSES ONLY. OUTPUT IS NOT A SUBSTITUTE FOR INDEPENDENT PROFESSIONAL ENGINEERING REVIEW, VALIDATION, OR VERIFICATION.

You are solely responsible for:

  • Verifying the accuracy, completeness, and fitness for purpose of all Output before use in any fabrication, manufacturing, procurement, or engineering context
  • Ensuring that all Output complies with applicable engineering standards, codes, specifications, and regulatory requirements
  • Conducting all necessary engineering review and quality control prior to submitting Output to any fabricator, vendor, or downstream party
  • Any decisions, actions, or reliance placed upon Output by you or any third party to whom you provide Output

Company shall not be liable for any loss, damage, cost, injury, or other consequence arising from or related to reliance on Output generated by the Software, including but not limited to fabrication errors, material waste, rework costs, project delays, or personal injury resulting from manufactured components.

5. File Integrity and Data Loss Disclaimer

The Software operates on SolidWorks files and generates Output by interacting with the SolidWorks COM API. While the Software is designed to operate without modifying your source SolidWorks files, Company does not guarantee the integrity of your files or data during or following any Software operation.

YOU ACKNOWLEDGE AND AGREE THAT:

  • Company makes no warranty that Software operations will not result in corruption, modification, overwriting, or loss of source files or data
  • Company is not liable for any loss of SolidWorks files, project data, drawings, models, or any other digital assets resulting from use of the Software
  • You are solely responsible for maintaining current and complete backups of all SolidWorks files, associated drawings, and related project data prior to using the Software
  • Company strongly recommends operating the Software on files managed under a version control system, such as SolidWorks PDM, or maintaining independent backups before initiating any export operation

6. Purchases, Payment, and All Sales Final

All purchases of FabPak licenses are processed by Paddle.com Market Limited ("Paddle") acting as our Merchant of Record. Paddle is responsible for billing, payment processing, applicable tax collection at checkout, and resolution of payment disputes.

By completing a purchase, you agree to Paddle's applicable terms of service and privacy policy in addition to these Terms:

Pricing is listed in United States Dollars.

All sales are final.

FabPak licenses are delivered digitally and are immediately accessible upon license activation. Because the Software is available for immediate use and a free 14-day full-feature trial is provided prior to purchase for the express purpose of evaluation, all sales are final and no refunds will be issued except as expressly stated below. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO INITIATE A CHARGEBACK OR PAYMENT REVERSAL WITH YOUR PAYMENT PROVIDER FOR PURCHASES MADE IN ACCORDANCE WITH THESE TERMS.

Refund requests will be considered solely at Company's discretion in the following limited circumstances:

  • A documented technical defect exists that prevents the Software from performing its core functions and cannot be resolved through reasonable support efforts within a commercially reasonable time
  • A duplicate charge or billing error occurred as a direct result of a payment processing failure attributable to Paddle

Refund requests must be submitted to support@fabpak.app within 14 days of the original purchase date and must include your license key, order number, and a detailed description of the issue.

Subscription licenses (FabPak Freelance) may be cancelled at any time through the Paddle billing portal. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused time within an active billing period.

7. Trial License

A 14-day trial license is provided at no cost and requires no credit card or payment information. The trial is machine-locked to the device on which it is first activated and cannot be transferred, extended, or reset. Trial licenses expire automatically at the end of the 14-day period. Continued use of the Software after trial expiration requires purchase of a paid license.

8. Service Availability and Continuity

Company will make reasonable efforts to maintain availability of the Site, installer downloads, and license activation services. However, Company does not guarantee uninterrupted or error-free access to any service. Company reserves the right to take the Site or any portion thereof offline for maintenance, upgrades, or security purposes; modify, suspend, or discontinue any feature or service; and discontinue support for specific versions of the Software or SolidWorks. Temporary unavailability does not constitute a breach of these Terms or the EULA and does not entitle you to a refund.

9. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, icons, images, and software, is the property of Daedalus Contrivance, LLC or its content suppliers and is protected by United States and international intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from the Site without express prior written permission from Company.

"FabPak" and "FabPak Project Exporter" are trademarks of Daedalus Contrivance, LLC. SolidWorks is a registered trademark of Dassault Systèmes SolidWorks Corporation. FabPak is an independent product and is not affiliated with, endorsed by, or sponsored by Dassault Systèmes or its subsidiaries.

10. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SITE IS SOLELY AT YOUR OWN RISK.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DAEDALUS CONTRIVANCE, LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, FABRICATION ERRORS, REWORK COSTS, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE OR SOFTWARE OUTPUT, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY.

IN NO EVENT SHALL COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00), REGARDLESS OF THE FORM OF ACTION OR THE BASIS OF THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Daedalus Contrivance, LLC and its officers, directors, members, employees, contractors, and agents from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

  • Your use of or access to the Site or Software in violation of these Terms or the EULA
  • Your violation of any applicable law, regulation, or third-party right, including intellectual property rights
  • Any Output you generate using the Software, including claims arising from fabrication errors, reliance on Output, or downstream use of Output by third parties
  • Your misrepresentation of any information provided to Company

13. Termination and Suspension

Company reserves the right, at its sole discretion and without prior notice or liability, to suspend or terminate your access to the Site for any reason, including breach of these Terms, breach of the EULA, fraudulent or abusive activity, or conduct determined to be harmful to other users, Company, or third parties. Sections 4, 5, 9, 10, 11, 12, 15, 16, and 17 of these Terms survive any termination.

14. Export Compliance

The Software is subject to United States export control laws and regulations, including the Export Administration Regulations (EAR). By downloading, installing, or using the Software, you represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to a U.S. government embargo or comprehensive sanctions program, and that you are not identified on any U.S. government restricted party list.

15. Force Majeure

Company shall not be liable for any delay, failure, or interruption in performance of its obligations under these Terms to the extent caused by circumstances beyond Company's reasonable control, including acts of God, natural disasters, government actions, labor disputes, failures of third-party service providers, cyberattacks, or pandemics. A force majeure event does not excuse your payment obligations for licenses already purchased.

16. Links to Third-Party Sites

The Site may contain links to third-party websites, including Paddle, Cryptlex, and Freshdesk, for convenience only. Company does not control, endorse, or assume any responsibility for the content, privacy policies, or practices of any third-party site. Access to any linked third-party site is at your own risk.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Arkansas, United States of America, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts of competent jurisdiction located in the State of Arkansas. You irrevocably consent to the exclusive personal jurisdiction and venue of such courts.

18. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and, where applicable, the End User License Agreement, constitute the entire agreement between you and Company with respect to the Site.

Amendment. Company reserves the right to modify these Terms at any time. Changes are effective upon posting to the Site with an updated Effective Date. Continued use of the Site after changes constitutes acceptance.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. No failure or delay by Company in exercising any right under these Terms shall constitute a waiver of that right.

Assignment. You may not assign or transfer these Terms or any rights hereunder without Company's prior written consent. Company may assign these Terms freely.

No Third-Party Beneficiaries. These Terms are for the sole benefit of the parties hereto. Nothing in these Terms confers any legal or equitable right on any other person or entity.
